        Background and Aim: The comprehensive model of acquisition and merger is the process of combination and merging companies. Acquisition and merger create a stable competitive advantage, and this is when there is an incompatibility between the resources, capabilities and opportunities to the two companies. Resources include marketing excellence, distribution network, R&D, and excess operational capacity. Acquisition and merger in the case of public limited companies is done by purchasing and transferring ownership of a significant portion of a company's shares to another legal entity.Methodology: The type of present study is a survey and applied Study. The statistical population of this study includes experts familiar with knowledge-based and start-up companies and informed about the concepts of acquisition and merger, of which 10 experts were identified and considered as the statistical sample of the research. The data collection tool is an expert questionnaire and pairwise comparisons.Results: According to the studies, 5 components include creativity and innovation, Technology, Professionalism, Empowerment and organizational behavior have been identified as the main dimensions in the design of this model. Based on the results, it was found that all of these components had a significant effect on the pattern of acquisition and merger.Conclusion: According to the research findings, it can be concluded that among the factors of acquisition and merger, creativity, innovation and technology has had the greatest impact on the formation of the pattern of acquisition and merger.Keywords: Acquisition and Merger Pattern, Knowledge-Based and Start-up Companies, Multi-Criteria Decision Making, Fuzzy Dimtel Method Manuscript profile

        The research is currently being done to achieve its ultimate goal, which is to provide a model for further identification of loyalty factors in Pasargad insurance agencies in Mashhad. The research tool consists of two questionnaires, which are: Determining the property ; Obtaining it by Demetel method and interviewing the insurance expert. This research has been collected from the opinions of 25 insurance experts in the period from the beginning of winter of 1399 to the spring of 1400. In this regard, the current research question is what is the impact on loyalty in the insurance industry? To answer this question, the factors that have affected them if they use loyalty in medical insurance, and if they are qualified by insurance experts, and with the Likert spectrum, they used the disease factors to become re-emergence. After the t-test, it is used to determine the effects on loyalty, and the factors that cause it to be used in the second questionnaire and cause another complication to be evaluated by another method using the method.         The purpose of this study is to apply the Dimtel method to identify the factors affecting the health of the administrative system to achieve open data rule in government agencies in Mazandaran province. The method of the present study is fundamental (exploratory) research in terms of nature and a combined method (qualitative-quantitative) has been used to investigate the objectives of the research. The statistical population of the study is the managers of government agencies in Mazandaran province who have a master's degree or higher and have at least 10 years of management experience in the current government. The statistical sample was determined by theoretical sampling method until the indicators reached theoretical saturation. The number of samples in this study was limited to 25 managers of government agencies in Mazandaran province due to open interviews and the prevalence of Covid 19 disease, which slightly affected open sampling in the study. Were considered. Information and data required for the research were collected through a questionnaire. In order to analyze the collected data in the qualitative part, the grounded theory method has been used and in the quantitative part, the Demetel method has been used.
