Abstract :

The capital market plays a crucial and fundamental role in revitalizing the country's economic cycle by attracting financial resources and providing capital to production and investment companies. This is often achieved through public stock offerings and mobilizing public funds. Maintaining public trust in this process is essential to encourage participation in financing production companies, thereby increasing production. Additionally, the accountability of relevant institutions, such as the Securities and Exchange Organization of Iran (SEO), in the event of losses caused by stock price fluctuations, further underscores the importance of addressing this issue.
Clearly, any damage to investors in the capital market, which serves as a showcase for the country's economic prosperity, would erode public trust and inflict serious harm on the national economic system. Given the significance of this issue, particularly the responsibility of the SEO's board of directors in protecting shareholders' rights and ensuring transparency and fairness in the capital market, this article analyzes and evaluates the civil liability of the SEO as the regulatory body overseeing the market.
The authors conclude that assuming civil liability for the board of directors of the Securities and Exchange Organization of Iran is vital for safeguarding shareholders' rights and ensuring transparency and fairness in financial markets. This, in turn, would enhance transparency and trust among retail investors and shareholders, ultimately leading to the growth and development of the market.
