Abstract :
Abstract
Field and Aims: One of the solutions and remedies that the International Convention on the Sale of Goods has identified to deal with breach of contract is the avoidance of the contract. Since the Convention has been ratified in order to unify the rights of trade and its purpose is to promote and facilitate international trade, we can also provide suitable conditions for commercial activities by unifying our domestic laws with the outside world.
Method: This article is written using a descriptive-analytical method.
Findings and Conclusions: by examining the provisions of the Convention, we find that the right for using remedy of avoidance arises in certain circumstances, which are not easy to access. It seems that the Convention has tried as much as possible to support the continuation of the legal life of the contract and to provide the avoidance as a last resort and inevitably to the parties. The reason is the consequences of avoidance, which usually imposes large losses on one of the parties of the contract. By examining the avoidance of the contract in the convention, we find that this legal establishment has many differences with the avoidance in Iranian domestic law.
